White-Label License Agreement

This White-Label License Agreement ("Agreement") is entered into between SellAIBots, LLC ("Licensor", "we", "us") and you ("Licensee", "you") upon your acceptance of these terms.

1. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants Licensee a:

  • Non-exclusive license to use the SellAIBots platform
  • Non-transferable right to access and utilize the services
  • White-label rights to rebrand the platform with your company identity
  • Right to resell chatbot services to your end clients under your brand
  • Access to the platform dashboard, APIs, and embeddable widgets

2. Restrictions

Licensee shall NOT:

  • Sublicense the platform technology to third parties for their own white-labeling
  • Reverse engineer, decompile, or attempt to extract source code from the platform
  • Create competing products based on the platform's design, functionality, or architecture
  • Remove or alter any proprietary notices, labels, or marks (except as permitted for white-labeling)
  • Use the platform for illegal activities or to violate any applicable laws
  • Exceed usage limits specified in your subscription tier
  • Share account credentials with unauthorized parties

3. Intellectual Property Ownership

Licensor Owns:

  • The SellAIBots platform, including all software, code, algorithms, and infrastructure
  • All intellectual property rights in the underlying technology
  • Platform improvements, updates, and new features
  • Aggregate, anonymized data derived from platform usage

Licensee Owns:

  • Your brand identity, logos, and trademarks
  • Content you create and upload to the platform
  • Customer relationships with your end clients
  • Revenue generated from your chatbot services
  • Custom prompts and configurations you create

4. Fees and Payment

  • Subscription fees are billed monthly in advance
  • Usage-based charges (message credits) are billed in arrears
  • All fees are non-refundable except as specified in our SLA
  • We may adjust pricing with 30 days written notice
  • Overdue payments may result in service suspension

5. Support

  • Support levels vary by subscription tier (see SLA)
  • Starter: Email support, 48-hour response
  • Agency: Priority email support, 24-hour response
  • Scale: Dedicated support, 4-hour response for critical issues
  • All tiers include access to documentation and knowledge base

6. Data and Privacy

  • You are responsible for obtaining consent from your end users
  • We process data as your service provider per our DPA
  • Conversation data is stored securely and encrypted at rest
  • You retain ownership of your customer data

7. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, or expenses arising from: (a) Licensee's use of the platform; (b) Licensee's violation of this Agreement; (c) Licensee's relationships with end clients; (d) any content uploaded or created by Licensee; (e) Licensee's failure to comply with applicable laws.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REVENUE.

9. Termination

  • Either party may terminate with 30 days written notice
  • We may terminate immediately for material breach or non-payment
  • Upon termination, your access to the platform will cease
  • You may export your data within 30 days of termination
  • Provisions that should survive termination will remain in effect

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Delaware, and both parties consent to the exclusive jurisdiction of such courts.
